A clause in a document creating a floating charge which provides for crystallisation of the charge on the occurrence of a specified event without the need for any further action on the part of the chargor or the chargee: for example Warble Enterprises Ltd v Harry George King & Anor [1974] HKLR 232. Such clauses are recognised as being valid: Re Brightlight Ltd [1987] Ch 200. Preferential payments have priority over any charge created as a floating charge: Companies Ordinance (Cap 32) ss 79, 265(3B). Therefore, even after a floating charge is crystallised, preferential creditors still have priority over the chargee in question. See also Crystallisation; Floating charge.
