It is called ‘off-board’ because stock exchanges are often referred to as the board or ‘Big board’ in the case of the New York Stock Exchange. Those trades can involve transaction in listed securities that are or over-the-counter transaction in unlisted securities as well as other financial instruments like derivatives.
