| 释义 | 合夥契諾 A formal contractual agreement between the partners of an entity recording matters agreed upon. Such matters include the rights and duties of each partner, the amounts to be invested, and the profit (or loss) sharing procedure. The formation and terms of a partnership may be evidenced by a partnership deed. The terms of a partnership deed governing mutual rights and obligations of partners may be varied by the consent of all the partners and such consent may be express or inferred through a course of dealing: Partnership Ordinance (Cap 38) s 21. The rights and duties of each partner are governed by the Partnership Ordinance (Cap 38) s 26 subject to terms of any agreement: s 21. An alteration in a partnership deed appearing on the face of the deed (where it is made or presumed to have been made before execution) cannot be taken into consideration: Re Duncun and Pryce [1913] WN 117 (DC).
