释义 | 發起人 A person who initiated or organises a company project, or event. Betting, gaming and lotteries - A person who promotes, organises, conducts or manages, or otherwise has control of, an unlawful lottery, or in any capacity assists, either directly or indirectly, in the promotion, organisation, conduct, management or other control of an unlawful lottery: Gambling Ordinance (Cap 148) s 9. It is an offence to be a promoter of lotteries: s 9. Corporations - 1. A person who is involved as a principal or an assistant, in getting up and starting a business undertaking: Official Receiver and Liquidator of Jubilee Cotton Mills Ltd v Lewis [1924] AC 958 (HL). Promoters take the necessary preparatory steps to incorporate a company under the Companies Ordinance including registration, raising of share and loan capital and acquisition of business or property which the company is formed to control: Erlanger v New Sombrero Phosphate Co (1878) 3 App Cas 1218, (HL). Where the directors of a promoting company are the only directors and entitled to share in all the profits, the directors themselves will be considered promoters: Re Darby, ex p Brougham [1911] 1 KB 95. Promoters also include those who set up business ventures and other schemes other than a company: Halsbury’s Laws of Hong Kong, Vol 6, Companies and Corporations [95.0035]. 2. In relation to a prospectus, a person who is a party to the preparation of the prospectus, but does not include a person by reason of his acting in a professional capacity for persons engaged in procuring the formation of the company: Companies Ordinance (Cap 32) s 40(5)(a). Whether a person is a ‘promoter’ is a question of fact, the answer to which depends on what the person actually did: Lydney and Wigpool Iron Ore Co v Bird (1886) 33 Ch D 85 (CA). The burden of proof is on the party alleging that someone is a promoter: Ladywell Mining Co v Brookes (1887) 35 Ch D 400 (CA). To become a promoter a person must generally have more than an idea of forming a company: Erlanger v New Sombrero Phosphate Co (1878) 3 App Cas 1218 (HL).
