| 释义 | 以謹慎、技巧及努力行事的義務 The directors must exercise reasonable care and diligence and exhibit a degree of skill which may reasonably be expected from a person of his knowledge and experience: Re City Equitable Fire Insurance Co Ltd [1925] Ch 407. Directors are required to exercise the degree of care and diligence that an ordinary man might be expected to take in the circumstances on his behalf. A director is not bound to give continuous attention to the affairs of the company. His duties are of an intermittent nature to be performed at periodical board meetings and at meetings of any committee of the board upon which he happens to be placed. A director is not however bound to attend all such meetings but ought to attend whenever in the circumstances he is reasonably able to do so. If the directors are allowed to delegate their power under the articles of association, in the absence of grounds of suspicion, they are justified to trust those delegates to perform such duties honestly: Re City Equitable Fire Insurance Co Ltd, supra.
