| 释义 | 股票 A document under the common seal of a company or the official seal kept by the company for sealing securities, specifying the number of shares held by a member, the nominal value of the share and the extent to which they are paid-up: Companies Ordinance (Cap 32) s 71. It is prima facie evidence of the title of a member to the number of shares specified: s 71. However, it is not a negotiable instrument or a warranty of title by the company which issued it: Longman v Bath Electric Tramways Ltd [1905] 1 Ch 646 (CA). It is given with the intention that it is merely to declare that the person named in it is the registered holder of the shares specified (Re Bahia and San Francisco Rly Co (1886) LR 3 QB 584), the shares being paid up to the extent mentioned therein (Bloomenthal v Ford [1897] AC 156 (HL)).
