The development of equitable compensation is to supplement the limited range of remedies under common law. Equitable compensation is capable of enforcing rights which are exclusively equitable and those which are legal. The award of equitable compensation is discretionary and governed by the doctrine that equity acts in personam. Specific performance is one of the most common equitable compensations and the availability of equitable compensation depends very much upon the adequacy of common law remedies. The court’s jurisdiction of awarding equitable compensation in breach of fiduciary duty cases is independent from its jurisdiction of granting specific performance or injunction and the jurisdiction does not derive from the High Court Ordinance (Cap 4) s 17: Kishimoto Sangyo Ltd & Anor v OBA & Ors [1996] 2 HKC 260 (CA). A claim for an account of breach of fiduciary duty is ancillary to the claim for equitable compensation: Siy Ramon & Anor v BPI International Finance Ltd & Ors [1987] 3 HKC 317. The six year limit in relation to the actions laid down in the Limitation Ordinance (Cap 347) s 4(2) does not apply to the claim for equitable compensation: De-Etco International Ltd (In Liquidation) v Desirable Enterprise Co Ltd, Donling Enterprise (HCA 3347/90, unreported).
