释义 | 承讓人/承付人 The recipient of an interest in an estate by means of assignment. The assignee has privity of estate but not of contract with the grantor of the interest: Moule v Garrett & Ors (1872) LR 7 Exch 101. As the holder of an estate the assignee can sue in a personal, rather than representative capacity: Penley v Anstruther (1883) 52 LJ Ch 367; Ingle v McCutchan (1884) 12 QBD 518; McLean v Weaver (1924) 40 TLR 47. Liability to the grantor of the interest will therefore cease when the assignee no longer holds the estate, notwithstanding the continued operation of the applicable contract: Matthey v Curling [1922] 2 AC 180 (HL); Eyre v Johnson [1946] 1 All ER 719, KB 481. The benefits arising from privity of estate are those which touch and concern the subject matter of the interest: Spencer’s case (1583) 5 Co Rep 16a; Conveyancing and Property Ordinance (Cap 219) ss 39, 40. An assignee impliedly promises to comply with the provisions of the relevant contract: Whitham v Bullock [1939] 2 All ER 310, 2 KB 81 (CA). This requirement to comply may also be implied by statute: Conveyancing and Property Ordinance (Cap 219) ss 31, 32.
