释义	法團席位 The place, in company law, where the corporation or firm is first incorporated. Seat of corporation specifically refers to the jurisdiction where the memorandum and articles of association have been lodged and registered and where the firm has its registered office. The law of that jurisdiction of incorporation governs the activities of the company. A corporation is thus regarded to have a seat in a state, if it is incorporated or formed under the law of that state or its central management and control is exercised in that state. The seat of a corporation is one of the factors in determining whether a state has jurisdiction on the corporation.
