A positive act or statement made by the promisor indicating that he or she is no longer capable or does not want to perform his or her contractual duties. Omission alone would not be treated as express repudiation. Before holding an omission as a repudiation, the court usually gives leeway to the wrongdoer to comply with the obligation under the contract: Wong Fai v Rank Chance Development Ltd, Liu Wai Man (HCA 18234/98, unreported). The innocent party is under no obligation to accept the repudiation and may instead wait until performance is due and seek damages: Hochster v De La Tour (1853) 2 El & Bl 678, 118 ER 922. An innocent party has a right to elect to accept the repudiation or affirm the contract: Kar Ho Development Co Ltd v Axis Investment Ltd [2001] 1 HKC 86 (CA).
