| 释义 | 收購要約 In relation to a corporation, an offer made to all the holders (or all the holders other than the person making the offer and his nominees) of the shares in the corporation to acquire the shares or a specified proportion of them, or to all the holders (or all the holders other than the person making the offer and his nominees) of a particular class of the shares to acquire the shares of the class or a specified proportion of them: Securities and Futures Ordinance (Cap 571) sch 1 pt 1 s 1. An offer by a company (‘transferee company’) to acquire all the shares, or all the shares of any class or classes, not already held by it in another company (‘transferor company’) on terms which are the same in relation to all the shares to which the offer relates or, where those shares include shares of different classes, in relation to all the shares of each class: Companies Ordinance (Cap 32) s 168c. If a take-over offer does not relate to shares of different classes and not later than the expiration of the period within which the offer can be accepted the transferee company is the holder of not less than nine-tenths in value of all the shares in the transferor company or, if the offer relates to a class of shares, not less than nine-tenths in value of all the shares of that class, the holder of any shares to which the offer relates who has not accepted the offer before the expiration of that period may by letter addressed to the transferee company require it to acquire those shares: sch 9 para 9.
