释义	授權保證 A representation that a person professing to act as agent for another promises impliedly, if not expressly, that he is duly authorised so to do: British Russian Gazette and Trade Outlook Ltd v Associated Newspapers Ltd [1933] 2 KB 616 (CA). If the officer or agent did not have such authority, and a person acts on the warranty of authority and suffers loss, then the officer or agent may be personally liable: Britannia Electric Lamp Works Ltd v Mandler & Co Ltd and Mandler [1939] 2 KB 129 at 135, [1939] 2 All ER 469. The warranty can be excluded by agreement that the third party is to take the risk of absence of authority: Halbot v Lens [1901] 1 Ch 344. The agent’s warranty of authority is a continuing one and the agent is in breach once his actual authority is determined without notice to the third party: Yonge v Toynbee [1910] 1 KB 215 (CA).
