| 释义 | 不記名轉讓 A document executed by an owner of shares evidencing an intention to convey the property to a transferee not named in the instrument. The name of the transferee may be inserted at a later date. A blank transfer is often used as a form of security and held by an equitable mortgagee of shares. However, a blank transfer executed by the shareholder gives no security to an equitable mortgagee unless the filling in of the transferee’s name is made under an authority conferred by an instrument under seal: Halsbury’s Laws of Hong Kong, Vol 6, Companies and Corporations [95.0440]. On enforcement of the security, the mortgaged share may be sold by the mortgagee and the transferee’s identity may be inserted into the transfer document at the time of sale.
