| 释义 | 公司註冊證書 1.A certificate issued on the registration of the memorandum by the Registrar of Companies, with his signature or his printed signature, to a company, certifying that the company is incorporated and, in case of a limited company, that the company is limited: Companies Ordinance (Cap 32) s 16(1). The certificate of incorporation is a conclusive evidence that all the requirements in respect of registration and of matters precedent and incidental thereto have been complied with. 2. A certificate granted by the Chief Executive of the Hong Kong SAR to a body of persons or charity, having considered the incorporation of the trustees of such body or charity expedient. From the date of the grant of the certificate, the trustees and their successors in office shall be a body corporate and shall have perpetual succession: Registered Trustees Incorporation Ordinance (Cap 306) s 4(1), (2). 1.有公司註冊處處長簽署或印刷簽署的證明書，在公司的章程大綱註冊時向該公司發出，以核證該公司已成立為法團，如屬一間有限公司，則並須核證該公司是有限公司：《公司條例》（第32章）第16(1)條。公司註冊證書屬確證，證明所有與註冊有關的規定及與註冊的先決及附帶事宜有關的所有規定均已獲遵從。2. 在考慮某團體或慈善組織的受託人註冊屬適當後，由行政長官發給該團體或慈善組織的法團註冊證書。由證書的頒發日期起，該等受託人及其職位的繼任人即屬法人團體，及享有永久延續權：《註冊受託人法團條例》（第306章）第4(1), (2)條。 |
