| 释义 | 董事 A person employed as an officer of a company and having a duty to perform the duties of management of the business of the company, acting as a member of the board of directors. Every company must have at least two directors: Companies Ordinance (Cap 32) s 153(1). Director includes any person occupying the position of director by whatever name called: s 2(1). Directors are appointed by the general meeting: sch 1 table A art 96. Except for private limited companies, a director must be a natural person and be at least 18 years old: ss 154A, 157C. A body corporate can only be the director of a private limited company if it is not a member of a group of companies of which a listed company is a member: s 154A(2), (3). Grounds for disqualification from holding office include having recently been convicted of certain criminal offences: s 168E; having repeatedly contravened the Companies Ordinance: s 168F; guilty of fraud or breach of duty or fraudulent trading: ss 168G, 275; being unfit director of insolvent companies: s 168H. References to ‘director’ include persons in accordance with whose directions or instructions the directors of a company are accustomed to act (except if the advice is given in the performance of functions attaching to the person’s professional capacity): ss 158(10), 168C; Halsbury’s Laws of Hong Kong, Vol 6, Companies and Corporations [95.0633].
