A rule applying to contracts for the sale of land. Where, owing to a misdescription of the extent and quality of the property, the vendor fails to perform his duty, and the misdescription, although not proceeding from fraud, is material and substantial, affecting the subject matter of the contract to such an extent that it may reasonably be supposed that, but for the misdescription, the purchaser might never have entered into the contract at all, the contract may be avoided altogether. The purchaser is not bound to resort to any ‘error or misdescription’ compensation clause in the contract: Flight v Booth (1834) 1 Bing NC 370; 131 ER 1160; Halsbury’s Laws of Hong Kong (2001 Reissue), Vol 16, Land [230.0182]. This rule is followed in Hong Kong: for example Goldful Way Development Ltd v Wellstable Development Ltd [1998] 4 HKC 679, [1999] 1 HKLRD 563 (unauthorised structure being part and parcel of the property); Green Park Properties Ltd v Dorku Ltd [2000] 2 HKLRD 400.
