| 释义 | 誠實行事責任 The duty of an officer of a corporation at all times to act honestly in the exercise of his or her powers and the discharge of the duties of office: Re Smith and Fawcett Ltd [1942] 1 All ER 542, Ch 304 (CA). To ‘act honestly’ refers to acting bona fide in the interests of the company. A breach of this obligation involves consciousness of what is being done is not in the interests of the company, and deliberate conduct in disregard of that knowledge: Marchesi v Barnes [1970] VR 434. A director exercises powers honestly but for an improper purpose: Hogg v Cramphorn Ltd [1966] 3 All ER 420, [1967] Ch 254; Howard Smith Ltd v Ampol Petroleum Ltd [1974] 1 All ER 1126, AC 821.
