释义 | 完成交易 In property law, the point in a transaction for the sale and purchase of property where the purchaser pays the outstanding purchase price under the contract, the vendor conveys the property to the purchaser, and any outstanding contractual obligations are performed. Completion is usually by undertaking. For this, the balance of the purchase money will be delivered to the vendor’s solicitor within the time limit set out in the sale and purchase agreement, and the executed assignment is handed over to the purchaser’s solicitor together with an undertaking from the vendor’s solicitor to hand over the relevant documents of title within a specified time. As time is of the essence, if the purchaser delays beyond the exact time set, he is treated as having repudiated the contract, and the vendor is entitled to forfeit the deposit and take any other action not restricted by the terms of the contract: Chong Kai Tai, Ringo v Lee Gee Kee [1997] 1 HKC 359, HKLRD 461 (PC); Whale View Investment Ltd v Kensland Realty Ltd [2000] 2 HKLRD 261.
